Terms of Service

These Terms of Service (“Terms”) govern your use of the Suadivo AI sales-assistant service (“Service”), operated by [Legal entity name], [address] (“Suadivo”, “we”, “us”). By accessing or using the Service, you (“Customer”, “you”) agree to these Terms.

1. The Service

Suadivo crawls a website you designate, indexes its content, and provides an embeddable chat widget that gives your shoppers consultative recommendations and answers, along with a dashboard for configuration, analytics, and billing. Access is provided on an invite basis; the Suadivo team provisions Customer accounts.

2. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorised use. You must provide accurate information and use a valid business email.

3. Your content and responsibilities

• You represent that you own or control the website and content you ask us to crawl, index, and use, and that our doing so does not infringe any third party’s rights or violate any agreement or law.
• You are the data controller for shoppers who interact with the widget on your site. You must maintain your own privacy notice and obtain any consents required by law, and you appoint us as a processor as described in our Privacy Policy.
• You are responsible for reviewing how the assistant represents your brand and for the accuracy of your catalog, pricing, and content.

4. Acceptable use

You agree not to: use the Service for unlawful, harmful, or deceptive purposes; index content you have no right to; attempt to breach security or access other tenants’ data; overload, reverse-engineer, or resell the Service; or use it to generate spam or abusive content.

5. AI-generated output

The assistant produces automated responses that may be inaccurate, incomplete, or not suitable for a given purpose. Output is not professional advice. You are responsible for output shown on your site, and you should put appropriate review and safeguards in place. We do not warrant that responses will be error-free.

6. Fees and billing

• Paid plans are billed in advance at the prices shown in the dashboard, in INR, exclusive of applicable taxes.
• Where recurring subscriptions are enabled, they renew automatically each period until cancelled; cancelling stops future renewals but does not refund the current period unless required by law or stated in a separate policy [refund policy, if any].
• Payments are processed by Razorpay, subject to its terms. If a payment fails, we may downgrade or suspend paid features.

7. Intellectual property

We retain all rights in the Service, software, and documentation. You retain all rights in your content, and you grant us a non-exclusive licence to host, process, and display it solely to provide the Service to you.

8. Warranties and liability

The Service is provided “as is” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. To the fullest extent permitted by law, Suadivo’s aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the [three (3) months] preceding the claim, and we will not be liable for indirect, incidental, special, consequential, or exemplary damages, or lost profits or revenue.

9. Indemnification

You will indemnify and hold us harmless from claims arising out of your content, your use of the Service, or your breach of these Terms or applicable law.

10. Suspension and termination

Either party may terminate with notice. We may suspend or terminate access immediately for breach of these Terms, non-payment, or risk to the Service or others. On termination, your right to use the Service ends; we may delete your data after a reasonable period as described in the Privacy Policy.

11. Governing law

These Terms are governed by the laws of [jurisdiction, e.g. India], and the courts of [city] will have exclusive jurisdiction, without regard to conflict-of-laws rules.

12. Changes
